Corporate Paralegal (Contract-to-Hire) – AI Start-Up (Hybrid, Midtown Manhattan)
Location: Midtown Manhattan (Hybrid: 2–3 days/week onsite)
Engagement: Contract-to-Hire
Experience: 1–3 years (Technology sector experience strongly preferred)

As the company expands its commercial footprint and deepens its partnerships, the Legal team is growing to support a rapidly evolving business landscape.

Position Overview
The Corporate Paralegal will support the in-house Legal department across a broad range of commercial, corporate, and operational matters. The ideal candidate is proactive, highly organized, comfortable juggling competing priorities, and eager to take ownership of core legal workflows in a dynamic tech setting.
This role is initially contract-based with the strong potential to transition to a full-time hire.
Key Responsibilities
- Draft, review, and revise standard commercial agreements, including NDAs, MSAs, SOWs, and vendor/customer contracts.
- Support contract lifecycle management, including tracking, metadata entry, version control, and execution processes.
- Prepare and maintain corporate governance documents, including board resolutions, consents, and organizational materials.
- Assist with due diligence, filings, and corporate housekeeping for U.S. entities.
- Work cross-functionally with Sales, Finance, Procurement, and Engineering teams regarding contract status and requirements.
- Maintain organized document repositories and ensure alignment with internal compliance processes.
- Support special projects within the Legal department as the company continues to scale.
Qualifications
- 1–3 years of paralegal experience in the technology sector — either in-house or at a law firm supporting tech clients.
- Strong understanding of commercial contracting fundamentals; familiarity with SaaS or enterprise-tech agreements is a plus.
- Experience preparing corporate resolutions and related governance documentation.
- Detail-oriented with excellent organizational skills and the ability to manage multiple workstreams.
- Strong communication skills and a team-first approach.
- Comfort working in a fast-paced, high-growth environment.
- Bachelor’s degree required; paralegal certificate preferred but not mandatory.
